1. Agreement to Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and Wabash Valley Post Frame Co ("Company," "we," "us," or "our"). By accessing our website, requesting a quote, or engaging our construction services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access our website or use our services. These Terms govern your use of our website; construction services are additionally governed by the construction contract you execute with us.
2. Description of Services
Wabash Valley Post Frame Co provides post-frame construction services across Indiana, Illinois, and Kentucky. Our services include: Material Supply Only packages providing pre-cut building kits with engineered plans for customer self-erection; Material + Labor (Standard Build) packages where we supply all materials and provide full crew framing services; and Labor-Only Framing services for customers who source their own materials. Additional services include free permitting assistance, financing facilitation through third-party lenders, design consultation, and project management. Specific services, pricing, and terms for your project are detailed in your construction contract.
3. Service Area
Our service area includes the State of Indiana and portions of Illinois and Kentucky. Service availability, scheduling, and any travel-related fees for projects outside our core Indiana territory are determined on a per-project basis during the quoting process. 4. Quotes and Estimates
Quotes and estimates provided by Wabash Valley Post Frame Co are based on information provided by you and standard assumptions about site conditions. Quotes are valid for thirty (30) days unless otherwise specified. Final pricing is subject to site verification and may be adjusted based on actual site conditions, permit requirements, material price changes, or scope modifications. A quote does not constitute a binding contract; the binding agreement is the executed construction contract.
5. Construction Contracts
All construction projects require execution of a written construction contract specifying project scope, specifications, pricing, payment schedule, timeline, warranties, and other terms. The construction contract governs the specific terms of your project and takes precedence over these Terms of Service in the event of any conflict. By signing a construction contract, you represent that you have legal authority to authorize construction on the property and that you have obtained any necessary permissions from property owners, lenders, or homeowners associations.
6. Payment Terms
Our standard payment schedule follows the 30/60/10 payment plan:

30% Deposit: Due upon contract signing. This deposit secures your project timeline, initiates permit applications, and allows us to begin material procurement.

60% Mid-Build Payment: Due when framing is substantially complete, typically when posts are set and trusses are installed.

10% Final Payment: Due upon project completion and final walkthrough approval.
Payment is due upon receipt of invoice unless otherwise specified. We accept checks, ACH transfers, and credit cards. Credit card payments may be subject to a processing fee of up to 4%. Late payments may incur interest at the rate of 1.5% per month or the maximum rate permitted by Indiana law, whichever is lower. Failure to make timely payments may result in work stoppage and mechanics lien filing.
7. RapidFrame On-Time Guarantee
Subject to the terms of your construction contract, our RapidFrame On-Time Guarantee provides a $500 credit for each calendar week a project exceeds the agreed completion date due to causes within our control. This guarantee does not apply to delays caused by: customer-requested changes or decisions; weather conditions preventing safe work; permit delays or inspection scheduling; material supply chain disruptions beyond our control; site access issues; discovery of unknown site conditions; or force majeure events. Specific guarantee terms, exclusions, and credit caps are detailed in your construction contract.
8. Customer Responsibilities
As a customer, you agree to: provide accurate and complete information about your project and property; ensure clear site access for crews, equipment, and material deliveries; obtain any necessary easements, utility locates, or permissions before construction begins; make timely decisions when design or specification questions arise; be available or designate a representative for project communications; comply with the payment schedule in your contract; notify us promptly of any concerns or issues during construction; and refrain from interfering with construction activities or directing crew members.
9. Site Conditions
You are responsible for ensuring suitable site conditions, including proper grading and drainage, foundation preparation (unless included in your contract), utility clearance (call 811 before any digging), removal of obstacles, trees, or debris in the work area, and adequate access roads for delivery trucks and equipment. If site conditions differ materially from those represented or assumed in the quote, additional charges may apply.
10. Permits and Compliance
We provide complimentary assistance with building permit applications for projects within our service area. You remain ultimately responsible for ensuring your project complies with all applicable building codes, zoning regulations, setback requirements, and any covenants or restrictions applicable to your property. Permit fees are your responsibility unless otherwise specified in your contract. We will construct your building to meet applicable codes, but approval of permits and inspections is subject to local authority jurisdiction.
11. Warranties
11.1 Workmanship Warranty
We warrant our workmanship for a period of five (5) years from the date of project completion. This warranty covers defects in construction quality attributable to our labor. If a workmanship defect is identified within the warranty period, we will repair or remedy the defect at no additional cost.
11.2 Material Warranties
Materials are covered by their respective manufacturer warranties, which we will pass through to you. Typical warranties include steel panel paint warranties (25β40 years depending on manufacturer) and structural component warranties. We will assist you in processing any manufacturer warranty claims.
11.3 Warranty Exclusions
Warranties do not cover: damage from misuse, abuse, or neglect; modifications or repairs made by others; damage from natural disasters, acts of God, or abnormal weather; normal wear and weathering; issues arising from customer-supplied materials; settling, movement, or failure of foundations not constructed by us; or failure to perform reasonable maintenance.
12. Text Messaging Terms
By providing your mobile phone number and checking the SMS consent checkbox on our website forms, you expressly consent to receive text messages from Wabash Valley Post Frame Co. These terms apply to all SMS and MMS communications sent by us.
12.1 Types of Messages
You may receive text messages related to: appointment confirmations and reminders; project status updates and scheduling notifications; follow-up communications related to your quote request; and responses to your inquiries.
12.2 Message Frequency and Rates
Message frequency varies based on your project status and interactions with us. Message and data rates may apply. Contact your wireless carrier for details about your messaging plan.
12.3 Opt-Out
You may opt out of receiving text messages at any time by replying STOP to any message you receive from us. After opting out, you will receive a single confirmation message and no further text messages will be sent unless you re-opt in. Opting out of text messages does not affect other communications (phone calls, emails) related to your project.

12.5 Consent

12.7 Supported Carriers
Our text messaging program is supported on all major U.S. wireless carriers. Carriers are not liable for delayed or undelivered messages.
13. Phone Communications
By providing your phone number through our website forms, you consent to receive phone calls from Wabash Valley Post Frame Co regarding your project, appointments, and services. Calls may be recorded for quality assurance and training purposes. We comply with the Telephone Consumer Protection Act (TCPA) and will not make autodialed or prerecorded marketing calls without your prior express written consent. You may request to stop receiving phone calls at any time by contacting us directly.
14. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY INDIANA LAW, WABASH VALLEY POST FRAME CO SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, LOSS OF USE, BUSINESS INTERRUPTION, CROP LOSSES, OR LOSS OF STORED PROPERTY, ARISING FROM OR RELATED TO OUR SERVICES. OUR TOTAL LIABILITY FOR ANY CLAIMS ARISING UNDER THESE TERMS OR ANY CONSTRUCTION CONTRACT SHALL NOT EXCEED THE TOTAL CONTRACT PRICE PAID BY YOU FOR THE PROJECT GIVING RISE TO THE CLAIM. These limitations apply regardless of the theory of liability.
15. Disclaimer of Warranties
EXCEPT FOR THE EXPRESS WARRANTIES SET FORTH IN SECTION 11 AND YOUR CONSTRUCTION CONTRACT, OUR SERVICES ARE PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE. WE DO NOT WARRANT THAT YOUR BUILDING WILL BE SUITABLE FOR ANY PARTICULAR USE BEYOND GENERAL POST-FRAME CONSTRUCTION STANDARDS.
16. Indemnification
You agree to indemnify, defend, and hold harmless Wabash Valley Post Frame Co, its owners, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys' fees) arising from: your breach of these Terms or your construction contract; your violation of any law or regulation; inaccurate information you provided; your use of the completed building; claims by third parties related to your property; or any negligent or wrongful acts by you, your employees, or your agents.
17. Force Majeure
Neither party shall be liable for any failure or delay in performance due to circumstances beyond its reasonable control, including but not limited to natural disasters, severe weather, acts of God, pandemics, war, terrorism, labor disputes, utility failures, material shortages, transportation disruptions, or government actions. In the event of a force majeure, project timelines will be extended accordingly, and the RapidFrame On-Time Guarantee will not apply to such delays.
18. Dispute Resolution and Governing Law
These Terms and any construction contract shall be governed by and construed in accordance with the laws of the State of Indiana, without regard to conflict of law principles. Any disputes arising from or relating to these Terms, our services, or any construction contract shall be resolved exclusively in the state or federal courts located in the State of Indiana. You consent to the personal jurisdiction of such courts and waive any objection to venue. Before initiating litigation, both parties agree to attempt good-faith negotiation to resolve disputes.
19. Mechanics Lien Rights
Under Indiana law, contractors and material suppliers who are not paid for work performed or materials supplied may file a mechanics lien against your property. By entering into a construction contract with us, you acknowledge our right to file a mechanics lien for any unpaid amounts. We will provide all required preliminary notices and follow applicable lien procedures.
20. Intellectual Property
All content on our website, including text, images, logos, and designs, is the property of Wabash Valley Post Frame Co or our licensors and is protected by copyright and trademark laws. You may not reproduce, distribute, or use our content without our written permission. Engineered drawings and plans created for your project are licensed for your use on the specific project only and may not be reused for other projects without our consent.
21. Website Use
Your use of our website is subject to these Terms. You agree not to: use the website for any unlawful purpose; attempt to gain unauthorized access to any portion of the website; interfere with the website's operation; or collect information about other users. We reserve the right to modify, suspend, or discontinue the website at any time without notice.
22. Referral Program
We may offer a referral program for customers who refer new business to us. Referral credits or payments are subject to the referral program terms in effect at the time of referral. Referral rewards are typically issued after the referred customer signs a contract and makes their initial deposit. We reserve the right to modify or discontinue the referral program at any time.
23. Modifications to Terms
We reserve the right to modify these Terms at any time. Changes will be effective immediately upon posting to our website. Your continued use of our website or services after any changes constitutes acceptance of the revised Terms. The Terms applicable to your construction project are those referenced in your construction contract.
24. Severability
If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.
25. Entire Agreement
These Terms, together with your construction contract (if applicable), our Privacy Policy, and our Return and Refund Policy, constitute the entire agreement between you and Wabash Valley Post Frame Co regarding the subject matter hereof. In the event of conflict between these Terms and your construction contract, the construction contract shall control.
